Justice Building Corporation Organizes

Posted

As its first duty, the board of directors of the Kosciusko County Justice Building Corp. passed one motion encompassing several authorizations to organize itself.

In the single motion, the law firm of Valentine and Miner was appointed as the corporation's attorney, the bylaws of the corporation were adopted and officers of the corporation were elected. Neal Carlson, Warsaw, will serve as president, with Terry Klondaris, Warsaw, as vice president. Sue Charlton, Leesburg, will be secretary/treasurer.

The corporation authorized the payment of its organizational expenses, designated a depository for corporation funds and authorized applying to the Internal Revenue Service for qualificiation as a tax-exempt organization.

The corporation also appointed Jack Kelly to serve on the wage committee.

The corporation was formed as part of the proceedings of the Kosciusko County Justice Building expansion project.

No date was set for the corporation's next meeting but Randy Rompola, attorney with Baker & Daniel, said he anticipates a Sept. 10 meeting, depending on how quickly the Indiana State Board of Tax Commissioners approves the lease. The next meeting should be on the issue of bonds for the project.

A lease financing will pay for the project with a maximum of 25 years to pay it off and a maximum annual lease rental of approximately $1.9 million.

After bonds are sold, the corporation will amend the lease to reflect the lease and payment terms.
